OFFER OF GUARANTEE ON APPLICATIONS
PROVIDED AND INSTALLED BY MANUSOFT (UK) LIMITED

As a normal part of any offer ManuSoft UK underpin their commitment to its effective implementation by including in the offer price the following components:

1: All implementation consultancy required to meet the agreed implementation programme that is part of the contract, and specified therein is included in the quoted price.

2: If, after a period of 90 days from the date of commencement of the programme as indicated on the licence agreement and before the expiry of 120 days from the commencement date, the client decides that the solution does not meet the agreed specification then the client can terminate the contract.

Upon such termination ManuSoft (UK) will, having allowed 14 days for the retrieval by the client of their data from the system, remove the software from the client’s hardware and repay all monies paid for software and maintenance charges.

Upon such termination the client will be required to provided a statement, in a form approved by ManuSoft (UK) Limited, that the software has been removed from all systems operated by the client and that no attempt will be made to access such software without the prior approval in writing of ManuSoft (UK) Limited

Note: In the event that the system has been financed through third party funding the cancellation of such funding arrangement may be subject to early settlement penalties which are payable by the client.

This guarantee does not cover the cost of any hardware which will remain the property of the client or any additional consultancy supplied under separate contract to the client by ManuSoft (UK) Limited or any associated company.
